Binah Capital is a $25.5M-market-cap consolidator of retail wealth-management firms — ten entities, four broker-dealers, three RIAs, three insurance entities, ~1,600 advisors — that earns fees/commissions and pays 'a substantial portion' back out to advisors. That pass-through model is why the headline P/S of 0.1x is deceptively cheap: only ~$37.8M of the $182M revenue is gross profit, and net income is a razor-thin 1.3% margin. The better lens is cash: FY2025 operating cash flow of $5.15M (up ~935%) against a $25.5M cap is roughly 5x OCF, and GAAP net income swung to +$2.31M from a -$5.29M loss in FY2024. That turnaround, a 12.6% ROE, and 26% cash growth to $10.7M are real and support owning the stock — but not chasing it at a 38x trailing P/E on $0.04 EPS.
The quality caveats are what keep this a hold rather than a buy. Earnings are volatile and unproven: net income went $571K (FY23) → -$5.29M (FY24) → $2.31M (FY25), so one clean year does not establish durability. More telling, the MD&A shows net new assets of -$1.9B and net new brokerage assets of -$1.9B — the platform is bleeding brokerage assets, and the 10% rise in brokerage assets to $27.0B came from market appreciation, not organic gathering. Advisory assets (+16% to $2.9B) are the bright spot but a small slice. The balance sheet carries 2.84x liabilities/equity and a -$22.5M accumulated deficit, leaving only $18.3M of equity.
