Cheap-on-book PA community bank with an improving core spread, but a collapsed year, weak 3.3% ROE and a >100% dividend payout keep it a hold.

Diluted EPS $0.92 · FY2025

The read

Middling fundamentals and a rich price (~82% above fair value) leave little margin of safety — a wait-and-see.

The headline looks alarming — net income fell 61% to $4.90M, diluted EPS to $0.92, and ROE to 3.27% from 8.77% (2024) and 19.42% (2023), leaving a scary 41.5x P/E. But the MD&A shows the damage is not in the core bank: net interest and dividend income actually GREW to $50.8M from $46.1M as net interest margin expanded to 3.55% from 3.19% and interest expense fell ~16% to $25.2M. The entire earnings hole is a $7.23M noninterest LOSS versus +$5.49M in 2024 and +$24.0M in 2023 — a swing that gutted the efficiency ratio to 86.5% from 69.1%. If that noninterest line normalizes, earnings power is materially above the depressed $0.92, which reframes the 41.5x multiple as an artifact rather than a valuation of the franchise.

The balance sheet backs a hold rather than a sell. The bank is well-capitalized — CET1 13.92%, Total Capital 14.89%, Tier 1 leverage 10.15% — with equity up 6.9% to $158M ($31.28 book value per share) and operating cash flow up to $17.8M. At $38.14 the stock trades ~1.2x book, not demanding for a well-capitalized bank, and management bought back $6.84M of stock (up 609%) while shrinking the count. Asset quality is still sound in absolute terms (NPLs 0.46% of loans, net charge-offs 0.02%).
