Oak Valley is a small, cleanly-run California community bank ($2.02B assets, +6.4%) executing a steady relationship-banking playbook: deposits grew 5.7% to $1.79B, net loans 3.3%, and net interest income rose 6.5% to $74.6M on earning-asset growth. The balance sheet is the standout — stockholders' equity jumped 13.4% to $208M, retained earnings 10.8% to $194M, and cash 37.6% to $232M, giving an 8.7x liabilities/equity ratio that is conservative for a bank. Credit quality remains pristine (non-performing loans just 0.40% of total loans, up from 0.00%), and an 11.5% ROE on an 11.8x P/E is a reasonable, not demanding, price.
The problem is direction of travel. Net income has now fallen two years running — from a $30.8M peak in FY2023 to $24.9M in FY2024 to $23.9M in FY2025 (-4.1%), with diluted EPS down to $2.88 from $3.02. The culprit isn't the top line but cost: noninterest expense climbed from $46.0M to $50.3M on 'staffing increases and general operating costs necessary to support the growing loan and deposit portfolios,' and the bank swung to an $805K credit-loss provision (versus a $1.62M reversal in 2024) driven partly by one collateral-dependent loan. Growth is being bought at the expense of operating leverage.
