Cheap on FCF but a shrinking, deeply levered radio business paying an 11% dividend while cash collapsed 85% — value trap.
Revenue $427M · FY2025
Townsquare is a sub-top-50-market radio and local-digital operator whose top line is in a persistent slide: revenue has fallen from $463M (FY2022) to $427M (FY2025), down 5.2% in the latest year, and gross profit dropped 12.2% to $109M (a thin 25.5% gross margin). The MD&A concedes the core driver — advertising revenue is 'highly correlated to changes in GDP' and 'often lags' it — so even the cited 2.2% 2025 GDP print has not stopped the decline, underscoring that this is structural (secular pressure on broadcast radio) rather than cyclical. Reported operating income doubling to $44.2M looks better than it is: net income is still negative (-$11.5M) because interest on the debt load consumes essentially all operating profit, and the FY2024 diluted EPS of -$0.81 confirms the equity has not earned its keep.
The balance sheet is the real problem. Stockholders' equity is negative at -$41.0M (worsening 44%), retained earnings are a -$353M accumulated deficit, and long-term plus current debt totals ~$433M against a market cap of just $117M — so this is a leveraged equity stub. Most alarming, cash cratered 85.6% to $4.76M while current liabilities ($82.2M) exceed current assets ($69.4M), leaving negative working capital and almost no liquidity buffer. Operating cash flow fell 37% to $30.6M; after $15.2M of capex, free cash flow is only ~$15M.
