Xtant finally strung together an operationally credible year: revenue grew 14.2% to $134M, gross margin is a healthy 62.9%, operating income swung to $7.28M (+160%), net income turned positive at $4.97M, and operating cash flow more than tripled to $12.5M. The balance sheet firmed up too — long-term debt was halved to $11.0M, cash rose 175% to $17.1M, equity is $51.0M against $43.2M of liabilities (0.85x), and current assets of $78.2M cover current liabilities of $29.5M 2.6x. On the surface a growing, 62.9%-gross-margin regen-med/spine business at 0.4x sales and 13.8x earnings looks cheap.
The filing undercuts the earnings quality, however. Management discloses it recognized $18.7M of license revenue in 2025 — a large slice of the $7.28M operating profit — and that the economics behind it are collapsing. Effective Jan 1, 2026 CMS imposed a Local Coverage Determination and a fixed $127.14/sq-cm skin-substitute price that directly hit SimpliMax and SimpliGraft; as a result the SimpliGraft manufacture/license agreement was already terminated effective Dec 31, 2025, and the SimpliMax license 'may be terminated,' which management concedes would adversely affect 2026 and future license revenue. So the very line that flipped the company to profitability is the one facing a reimbursement-driven cliff, and it also pressures direct product sales of those grafts.
